Meetings and resolutions
Plan a company's board and general meetings, send their notice, record attendance and the chair, put resolutions and record how they passed, and keep the minute book.
Plan a meeting
Plan a meeting on Meetings and resolutions takes the kind (board, annual general, extraordinary general, class or committee), the day, the time and the venue. Its notice period and quorum come from the firm's rules for that kind: 21 clear days for an annual general meeting unless the firm sets otherwise.

Notice, attendance and the chair
The meeting's page warns while the notice has not gone. Record the notice keeps the notice sent and its day; notice shorter than the clear days required is refused without the reason it stands, such as members' consent to short notice. Record attendance keeps who came, by proxy or with apologies, and the quorum is worked out from it. Once held, Record the chair chooses from those present.
Resolutions
Draft a resolution writes a board, ordinary, special or written resolution, numbered for the company. A resolution put to a meeting records its votes for and against and how they were taken; the firm's majority rules decide whether it passed. A written resolution is prepared from a template and circulated for signature; it passes when the signatures the firm's rules require are in, or lapses with a reason.
Minutes and the minute book
Record the minutes on the held meeting and send them to the chair to sign. The minute book lists every set in order, and Export as PDF puts them into one document filed on the company.
